Assistant App - AI-Powered Audio Recording and Transcription Service

1. ACCEPTANCE OF TERMS

By downloading, installing, accessing, or using the Assistant App mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. These Terms constitute a legally binding agreement between you and All Thing AI LLC ("Company," "we," "us," or "our").

2. DESCRIPTION OF SERVICE

Assistant App is a mobile application that provides audio recording, transcription, and AI-powered form filling services. The App allows users to record audio, transcribe it using advanced AI services, organize client information, manage forms, and integrate with video conferencing platforms like Zoom, Microsoft Teams, and Google Meet.

2.1 Core Features

• Audio recording and cloud storage
• AI-powered transcription using OpenAI Whisper and Google Speech-to-Text
• Dynamic form creation and AI-assisted form filling
• Client and record management
• Video platform integration for automated meeting creation
• Business communication tools with AI research capabilities
• Subscription-based billing with token consumption model

3. USER ACCOUNTS AND REGISTRATION

To use the App, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3.1 Account Requirements

• You must be at least 18 years old to create an account
• You must provide a valid email address
• You must not create multiple accounts
• You must not share your account with others
• You are responsible for all account activity

4. SUBSCRIPTION AND BILLING

4.1 Subscription Plans

The App operates on a subscription model with token-based usage. New users receive a free trial period with 200 tokens valid for 10 days. After the trial, users must subscribe to continue using the service.

4.2 Token System

• Transcription services consume tokens based on audio duration and AI service used
• OpenAI Whisper: 1 token per 1MB of audio
• Google Speech-to-Text: 2 tokens per 1MB of audio
• AI form filling: 1 token per 100 characters plus complexity multiplier
• Monthly subscriptions include base token allocations
• Additional token packs can be purchased for $10 per 1,000 tokens

4.3 Payment Terms

• Subscriptions are billed monthly in advance
• Payments are processed through Stripe
• All fees are non-refundable except as required by law
• You authorize automatic renewal unless cancelled
• Price changes require 30 days advance notice

4.4 Cancellation

You may cancel your subscription at any time through the App or customer portal. Cancellation takes effect at the end of the current billing period. No refunds will be provided for unused portions of the subscription period.

5. USER CONTENT AND DATA

5.1 Your Content

You retain ownership of all audio recordings, transcripts, forms, and other content you create or upload ("User Content"). By using the App, you grant us a limited license to process, store, and transmit your User Content solely for the purpose of providing the service.

5.2 Data Processing

• Audio files are temporarily processed by AI services for transcription
• Transcripts and form data are stored securely in encrypted databases
• We do not permanently retain raw audio files after processing
• Video platform integrations only store OAuth tokens with your permission
• All data processing complies with applicable privacy laws

5.3 Data Retention

• User account data is retained while your account is active
• Audio files are deleted after transcription processing
• You may delete your data at any time through the App
• We may retain certain data for legal compliance purposes

6. ARTIFICIAL INTELLIGENCE SERVICES

The App uses third-party AI services including OpenAI and Google Cloud Speech-to-Text. These services may process your audio content for transcription purposes. By using the App, you acknowledge and consent to this processing. AI-generated content may not always be accurate and should be reviewed before use.

7. THIRD-PARTY INTEGRATIONS

The App integrates with third-party services including Zoom, Microsoft Teams, Google Meet, and others. These integrations require OAuth authentication and are subject to the terms of service of the respective platforms. We are not responsible for the availability, performance, or terms of third-party services.

8. PROHIBITED USES

You agree not to use the App for:

• Illegal activities or violation of any laws
• Recording conversations without proper consent
• Uploading harmful, offensive, or inappropriate content
• Attempting to reverse engineer or compromise the service
• Sharing account credentials or attempting unauthorized access
• Violating intellectual property rights
• Harassing or threatening other users
• Commercial use beyond the intended business purposes

9. INTELLECTUAL PROPERTY

The App and its original content, features, and functionality are and will remain the exclusive property of All Thing AI LLC and its licensors. The service is protected by copyright, trademark, and other laws. You may not reproduce, distribute, or create derivative works without our express written permission.

10. PRIVACY AND DATA PROTECTION

Your privacy is important to us. Our Privacy Policy, which is incorporated into these Terms by reference, explains how we collect, use, and protect your information. By using the App, you consent to our Privacy Policy.

10.1 GDPR Compliance

For users in the European Union, we comply with the General Data Protection Regulation (GDPR). You have the right to access, rectify, erase, restrict processing, data portability, and object to processing of your personal data.

11. DISCLAIMERS AND LIMITATIONS

11.1 Service Availability

We strive to maintain continuous service availability but do not guarantee uninterrupted access. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

11.2 Accuracy Disclaimer

AI transcription and form filling services may contain errors. You are responsible for reviewing and verifying all AI-generated content before use. We do not guarantee the accuracy, completeness, or reliability of transcriptions or AI-generated content.

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL THING AI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless All Thing AI LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the App or violation of these Terms.

13. TERMINATION

We may terminate or suspend your account and access to the service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason in our sole discretion.

13.1 Effect of Termination

Upon termination, your right to use the App will cease immediately. You may download your data before termination. We may delete your account and data in accordance with our data retention policies.

14. GOVERNING LAW AND DISPUTES

These Terms shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions. Any disputes arising from these Terms or the use of the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or in-app notification at least 30 days before the changes take effect. Your continued use of the App after changes constitutes acceptance of the new Terms.

17. SEVERABILITY

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

18. ENTIRE AGREEMENT

These Terms of Service, together with our Privacy Policy and any other legal notices published by us on the App, constitute the entire agreement between you and All Thing AI LLC concerning the use of the App and supersede all prior agreements and understandings.
